AGREEMENT BETWEEN USER AND RATEDBUILDR MEDIA
Welcome to ratedBuildR Media. The ratedBuildR Media website (currently located at https://media.ratedbuildr.com) (the "Site") is comprised of various web pages and digital portals operated by ratedBuildR LLC ("ratedBuildR," "we," "us," or "our").
The Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of the Site constitutes your strict agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.
1. PURPOSE OF THE SITE
This website is explicitly established for the purpose of showcasing and facilitating transactions pertaining to the rental inventory, production services, and sales inventory of ratedBuildR Media. The contents displayed are intended to provide users with comprehensive information regarding our diverse range of cinema-grade tools and production capabilities.
2. MODIFICATION OF TERMS
ratedBuildR reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, ratedBuildR grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.
3. PRIVACY AND DATA COLLECTION
Your use of the Site is subject to ratedBuildR's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.
4. ELECTRONIC COMMUNICATIONS
Visiting the Site or sending emails to ratedBuildR constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.
5. YOUR ACCOUNT AND IDENTITY VERIFICATION
5.1 Account Security If you use this Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer/device, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that ratedBuildR is not responsible for third-party access to your account that results from theft or misappropriation of your account.
5.2 Identity Verification for High-Value Rentals Given the high value of our inventory (including, but not limited to, Cinema Line Cameras and G Master Lenses), creating an account does not guarantee the right to rent. ratedBuildR reserves the right to demand enhanced identity verification, including government-issued photo ID, verification of online presence (including professional social media profiles), and background/credit checks, before approving any rental request.
5.3 Termination of Account ratedBuildR and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion at any time, with or without notice.
6. RENTAL AND PRODUCTION SPECIFICS
6.1 The Rental Contract These Terms of Service govern your use of the website. Actual physical rentals of equipment are governed by a separate ratedBuildR Media Rental Contract and Insurance Policy, which must be signed prior to the release of any equipment. In the event of a conflict between these Terms and the Rental Contract regarding specific equipment liabilities, the Rental Contract shall control.
6.2 Loss of Income / Loss of Use You acknowledge that our equipment generates income. If you damage equipment, lose equipment, or return equipment late, you prevent us from renting it to others. You agree that ratedBuildR Media reserves the right to charge you for "Loss of Use" (calculated at the full daily rental rate, without discounts) for every day the equipment is out of service due to your actions, in addition to repair or replacement costs.
7. CONTENT AND INTELLECTUAL PROPERTY
7.1 Ownership All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel", and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to ratedBuildR LLC, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.
7.2 Restrictions Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without ratedBuildR’s express prior written consent.
8. NO UNLAWFUL OR PROHIBITED USE
You are granted a non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. As a condition of your use of the Site, you warrant to ratedBuildR that you will not use the Site for any purpose that is unlawful or prohibited by these Terms.
- You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site.
- You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.
- You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site.
ratedBuildR content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content.
9. LINKS TO THIRD PARTY SITES
The Site may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of ratedBuildR and ratedBuildR is not responsible for the contents of any Linked Site. ratedBuildR is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by ratedBuildR of the site or any association with its operators.
10. DISCLOSURES AND COOPERATION WITH LAW ENFORCEMENT
ratedBuildR may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) ratedBuildR's rights or property, or the rights or property of visitors to or users of the Site.
ratedBuildR reserves the right at all times to disclose any information that we deem necessary to comply with any applicable law, regulation, legal process or governmental request. We also may disclose your information when we determine that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
11. INDEMNIFICATION
You agree to indemnify, defend and hold harmless ratedBuildR LLC, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of: (a) your use of or inability to use the Site or services; (b) any user postings made by you; (c) your violation of any terms of this Agreement; (d) your violation of any rights of a third party; or (e) your violation of any applicable laws, rules or regulations.
ratedBuildR reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with ratedBuildR in asserting any available defenses.
12. LIABILITY DISCLAIMER
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. RATEDBUILDR LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.
RATEDBUILDR LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RATEDBUILDR LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF RATEDBUILDR LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.
BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
13. TERMINATION / ACCESS RESTRICTION
ratedBuildR reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. You agree that ratedBuildR may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to): (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.
14. GOVERNING LAW AND VENUE
To the maximum extent permitted by law, this agreement is governed by the laws of the State of California.
Dispute Resolution:
- Equipment Recovery & Injunctive Relief: You hereby consent to the exclusive jurisdiction and venue of state and federal courts in Riverside County, California, for any disputes arising out of or relating to the theft, loss, conversion, or recovery of ratedBuildR equipment, or for any claims seeking injunctive relief.
- Other Disputes: All other disputes arising out of or relating to the use of the Site shall be resolved in accordance with the Mutual Arbitration Agreement and Class Action Waiver found in the ratedBuildR Terms of Use, which is incorporated herein by reference.
15. CLASS ACTION WAIVER
Any arbitration or court proceeding under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING.
16. MISCELLANEOUS
You agree that no joint venture, partnership, employment, or agency relationship exists between you and ratedBuildR as a result of this agreement or use of the Site. ratedBuildR's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of ratedBuildR's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site.
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
17. ENTIRE AGREEMENT
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and ratedBuildR with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and ratedBuildR with respect to the Site.
18. DATA RIGHTS AND DISCLOSURE
ratedBuildR respects the privacy and data rights of all users. In compliance with applicable privacy laws, including the California Consumer Privacy Act (CCPA):
- Right to information: You have the right to know if your personal data is being processed, where, and why.
- Right to access & portability: You have the right to access your personal data and request a copy in a common format.
- Right to rectification: You can request updates to inaccurate data.
- Right to deletion: You have the right to request that your personal data be deleted ("Right to be Forgotten"), subject to our need to retain data for legal, insurance, or transactional record-keeping purposes.
Consent: Where we process your personal data, we will ask for your explicit consent where required by law. You may withdraw this consent at any time, after which we will cease to process your data, unless we have another legitimate reason to do so (such as an open rental contract or debt).
Breach Notification: In the event of a data breach, ratedBuildR will notify affected users within the timelines mandated by applicable law.
